Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer", or "User") and Taitcloud Hosting ("Taitcloud", "we", "us", or "our") and govern your access to and use of our websites, hosting, servers, domains, and related products and services (collectively, the "Services"). Please read them carefully.

By creating an account, placing an order, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree, do not use the Services.

01Agreement to Terms

These Terms apply to all visitors, users, and customers of the Services. By accessing the Services you agree to comply with and be legally bound by these Terms, whether or not you become a paying customer. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

These Terms incorporate by reference our Privacy Policy, Refund Policy, and any product-specific terms or order forms presented at the time of purchase. In the event of a conflict, an order form or product-specific term expressly agreed in writing prevails over these general Terms for the affected Service.

02Definitions

  • "Account" means the registered profile through which you access and manage the Services.
  • "Client Area" means our billing and management portal at billing.taitcloud.xyz.
  • "Customer Content" means any data, files, websites, code, or materials you upload, store, or transmit using the Services.
  • "Order" means a request to purchase or renew a Service placed through the Client Area or website.
  • "Subscription Term" means the billing period you select (for example monthly, annual, or multi-year).

03Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete registration information and to keep it up to date.

3.1 Account security

You are responsible for safeguarding your credentials and for all activity that occurs under your Account, whether or not authorized by you. You must notify us promptly at [email protected] of any suspected unauthorized access or security breach. We are not liable for losses arising from your failure to secure your Account.

3.2 One person or entity per account

Accounts are intended for a single person or legal entity. You may not share, resell, or transfer your Account without our prior written consent, except where a Service is expressly sold as a reseller product.

04Services & Provisioning

We provide web hosting, VPS, game and application server hosting, domain registration, and related add-ons as described at the point of sale. Service specifications, resource allocations, and included features are those stated on your Order or the applicable plan page at the time of purchase.

Provisioning is normally automatic following successful payment and any verification we require. We may delay or decline provisioning where we reasonably suspect fraud, chargbacks, or a violation of these Terms. We may modify, enhance, or discontinue features, and will give reasonable advance notice of material changes that adversely affect an active Service where practicable.

05Acceptable Use Policy

You agree not to use the Services, and not to allow any third party to use the Services, to host, store, transmit, link to, or facilitate any of the following:

  • Content or activity that violates any applicable law, regulation, or third-party right;
  • Malware, viruses, trojans, phishing pages, or other malicious or deceptive code;
  • Unsolicited bulk email (spam), or any activity that results in our IP ranges being blacklisted;
  • Material that infringes intellectual property, or that is defamatory, obscene, or unlawful;
  • Child sexual abuse material, or content that exploits or endangers minors, which we report to the authorities;
  • Attempts to gain unauthorized access to any system, network, or data, or to probe, scan, or test vulnerabilities without authorization;
  • Activity that disrupts, degrades, or places an unreasonable load on our infrastructure or other customers, including cryptocurrency mining on shared plans;
  • Operation of open proxies, open relays, or anonymization services that facilitate abuse.
Resource fairness. Shared hosting is a shared environment. We may impose reasonable limits on CPU, memory, processes, inodes, and I/O to protect stability for all customers. Sustained excessive use may require an upgrade to a VPS or dedicated resource.

We reserve the right to investigate suspected violations and to remove or disable access to content, or to suspend or terminate Services, as described in Section 10. Severity, harm to others, and legal obligations determine whether we act with or without prior notice.

06Fees, Billing & Renewals

6.1 Charges

Fees are those shown at the time of your Order and are billed in advance for the Subscription Term you select. All prices are exclusive of applicable taxes (including GST) unless stated otherwise, and you are responsible for such taxes.

6.2 Automatic renewal

To avoid service interruption, Subscriptions renew automatically at the end of each Subscription Term at our then-current rates, unless you cancel renewal before the renewal date through the Client Area. Renewal invoices are generated in advance of the due date.

6.3 Late or failed payment

If payment is not received by the due date, we may suspend the affected Services. Accounts that remain unpaid may be terminated and their data deleted after a grace period. Reactivation of suspended Services may be subject to a fee.

6.4 Domains

Domain registrations and renewals are handled with third-party registries and registrars, are subject to their policies, and are non-refundable once registered. You are responsible for renewing domains on time.

07Refunds & Cancellation

Eligible hosting plans include a 30-day money-back guarantee on the first term. Certain products and fees are non-refundable. Full details, exclusions, and the request process are set out in our Refund Policy, which forms part of these Terms. You may cancel a Service at any time from the Client Area; cancellation stops future renewals but does not, by itself, entitle you to a refund of the current term except as provided in the Refund Policy.

08Uptime & Service Levels

We aim to keep the Services available and perform proactive monitoring and maintenance. We target high availability but do not guarantee uninterrupted or error-free operation. Availability may be affected by:

  • Scheduled or emergency maintenance, for which we give notice where reasonably possible;
  • Force majeure events and factors outside our reasonable control (see Section 15);
  • Issues caused by your applications, configurations, or third-party services;
  • Suspensions arising from non-payment or policy violations.

Where a specific service-level commitment and remedy apply to a product, they will be stated on that product's page or order form and are your sole and exclusive remedy for availability shortfalls.

09Customer Content & Backups

You retain all ownership of your Customer Content. You grant us a limited license to host, store, transmit, and process it solely to provide and maintain the Services. You represent that you have all rights necessary to use the Customer Content and that it does not violate these Terms or any law.

Keep your own backups. You are solely responsible for maintaining independent backups of your Customer Content. Any backups we may take are provided on a best-effort basis for our operational convenience and are not a substitute for your own backups. We are not liable for loss of data.

10Suspension & Termination

We may suspend or terminate all or part of the Services, with or without prior notice depending on the circumstances, if:

  • You breach these Terms, the Acceptable Use Policy, or any applicable law;
  • Payment is overdue or a chargeback or payment dispute is initiated;
  • Your use poses a security, legal, or operational risk to us, our customers, or third parties;
  • We are required to do so by law or by a competent authority.

You may terminate by cancelling your Services in the Client Area. On termination, your right to use the Services ends and we may delete Customer Content after any applicable retention period. Sections that by their nature should survive termination (including fees due, intellectual property, disclaimers, liability, indemnity, and governing law) will survive.

11Intellectual Property

The Services, including our software, branding, logos, and website content (excluding Customer Content), are owned by Taitcloud or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted here, no rights are granted to you. You may not copy, modify, reverse engineer, resell, or create derivative works from the Services except as expressly allowed.

12Warranties & Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that data will not be lost.

13Limitation of Liability

To the maximum extent permitted by law, Taitcloud and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to the Services, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Services in any 12-month period will not exceed the total amount you actually paid to us for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.

14Indemnification

You agree to defend, indemnify, and hold harmless Taitcloud and its personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, or your breach of these Terms or any law or third-party right.

15Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory consumer protections, the courts at Madurai, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. The parties will first attempt to resolve disputes amicably through good-faith discussion.

Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, power or network failures, acts of government, or third-party outages.

16Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Client Area or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
